These Terms of Use ("Terms") govern the use of the whaleer.com website and all related services ("Platform") operated by Whaleer OÜ ("Company", "we" or "Whaleer").

The Company is incorporated under the laws of the Republic of Estonia and headquartered in Tallinn, Estonia.

By using the Platform or creating an account, you acknowledge that you have read, understood and accepted these Terms. If you do not agree with these Terms, you must not use the Platform.

Whaleer provides a technology infrastructure that enables automated trading in cryptocurrency markets. The Platform includes the following services:

• Creating and testing trading strategies using a Python-based infrastructure

• Automated execution of strategies on supported cryptocurrency exchanges

• Renting or listing strategies for sale through the Bot Market

• AI-powered strategy development assistant

• Technical analysis indicators and backtesting tools

Whaleer is not an investment advisory firm, does not provide investment advice and does not guarantee any investment returns.

You must create an account to use the Platform. By creating an account, you agree to the following terms:

• You represent that you are at least 18 years of age or have reached the legal age of majority in your jurisdiction.

• You agree to provide accurate, current and complete information during registration.

• You are responsible for the confidentiality of your account credentials and all activities conducted under your account.

• You are obligated to notify us immediately if you become aware of any unauthorized access to your account.

• Each user may create only one account. The Company reserves the right to suspend all accounts in case of multiple account creation.

The Platform connects to supported cryptocurrency exchanges via API to execute automated trades. In this context:

• You are responsible for the security of your API keys. Whaleer stores API keys using industry-standard encryption methods.

• Whaleer only requests 'Trading' permission. 'Withdrawal' permission is never requested and should never be granted.

• Whaleer cannot be held responsible for trade errors caused by technical issues, API restrictions or service interruptions on the exchange side.

• You must not share your API keys with third parties. Whaleer is not responsible for any losses resulting from shared API keys.

The Bot Market is a marketplace that allows users to offer their developed strategies to other users. The following terms apply to this service:

• Strategy sellers agree to pay a 10% platform commission on sales made through the Bot Market.

• Sellers are obligated to provide accurate and non-misleading information about their strategies. Sharing fake or manipulated performance data is strictly prohibited.

• Past performance of rented or purchased strategies does not guarantee future results.

• Whaleer does not guarantee the performance or profitability of strategies offered on the Bot Market.

• Users may not attempt to copy or reproduce rented strategies through reverse engineering.

The design, source code, logos, graphics and all content of the Platform are the intellectual property of Whaleer OÜ and are protected by international copyright laws.

• Users retain intellectual property rights to strategy codes they create on the Platform.

• By sharing strategies on the Bot Market, users grant Whaleer a limited, non-exclusive license to present the strategy on the Platform.

• Unauthorized copying, modification, distribution or reverse engineering of any part of the Platform is strictly prohibited.

Whaleer offers various subscription packages for different usage levels.

• Package prices and contents are published on the Platform and kept up to date.

• Payment transactions are processed through secure third-party payment processors. Whaleer does not directly store your credit card or bank information.

• In case of subscription cancellation, service continues until the end of the current billing period. No refunds are provided for unused time.

• Whaleer reserves the right to notify users of pricing changes at least 30 days in advance.

Cryptocurrency trading involves significant risk and may result in the loss of your entire invested capital. In this context:

• Whaleer cannot be held responsible for financial losses resulting from automated trades.

• Whaleer is not liable for losses caused by platform malfunctions, server outages, network delays or issues arising from third-party service providers.

• Losses caused by market manipulation, sudden price changes or extraordinary market conditions are outside Whaleer's responsibility.

• Whaleer's total liability in any situation shall not exceed the total subscription fees paid by the user to the Platform in the preceding 12 months.

• Users acknowledge that they understand the risks of cryptocurrency trading and trade only with amounts they can afford to lose.

Whaleer reserves the right to suspend or permanently close user accounts without prior notice in the following situations:

• Violation of these Terms

• Engagement in fraudulent, misleading or manipulative activities

• Misuse of the Platform or behavior that is harmful to other users

• Reasonable suspicion of illegal activities

• When an account is suspended or closed, the user's active bot operations will be stopped.

Users have the right to close their accounts at any time. Account closure requests should be submitted through support channels.

The processing of your personal data is subject to the European Union General Data Protection Regulation (GDPR) and the data protection legislation of the Republic of Estonia.

By using the Platform, you also accept the data processing practices described in our Privacy Policy.

Whaleer reserves the right to update these Terms at any time.

• Significant changes will be communicated via email and/or through the Platform at least 30 days before they take effect.

• Continuing to use the Platform after changes take effect constitutes acceptance of the updated Terms.

• If you do not accept the updated Terms, you have the right to close your account.

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia.

• Disputes arising from or in connection with these Terms shall first be resolved through good faith negotiations between the parties.

• Disputes that cannot be resolved through negotiation shall be subject to the exclusive jurisdiction of Harju Maakohus (Harju County Court, Tallinn).

• Consumers residing in the European Union may also submit complaints through the European Commission's Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr).
